Nurses and Nurse Practitioners Association of New Brunswick (NNPANB)- Founding Annual General Meeting

November 26, 2026

Notice is hereby given that the founding Annual General Meeting of the Nurses and Nurse Practitioners Association of New Brunswick will be held as follows:

Date:  Thursday, November 26, 2026

Time:  7:00 to 8:30 p.m. (Atlantic Time)

Location:  Online, via Zoom

Language:  Simultaneous English–French interpretation throughout

Why this meeting matters

This is not simply our first AGM. It is the meeting that formally establishes how the Association is governed.

Since its incorporation, the Association has operated without bylaws of its own, under the default rules of the New Brunswick Companies Act. At this meeting, members will be asked to adopt the Association’s first corporate bylaws: the basic rules that set out who our members are, how meetings are held and decisions are made, and how the Board is accountable to members. The bylaws also confirm the transitional Board of Directors that will lead the Association through the 2026–27 transition year, so there will be no Board election at this meeting.

These first bylaws are a starting framework. During the transition year, a comprehensive governance review will further consider membership classes with rights and responsibilities, the permanent structure, including Board composition and election, RN and NP representation, and the roles of the RN and NP Councils. Members will have meaningful opportunities to take part.

Business of the meeting

  1. Call to order and welcome
  2. Verification of quorum
  3. Approval of the agenda
  4. Interim reports: RN Co-Chair and NP Co-Chair
  5. Presentation and adoption of the first corporate bylaws, including the quorum provision
  6. Presentation of interim financial reports, from incorporation to date
  7. Resolution delegating to the Board the authority to determine the type of financial review (audit or review engagement) for the current and next fiscal years
  8. Presentation of the transitional Board 2026–2027
  9. Adjournment

AGM package

Registered members will receive the AGM package in English and French. It will include the proposed bylaws with a plain-language summary, the interim financial reports, the text of each proposed resolution, and the names and backgrounds of the members of the transitional Board.

Who can vote

All members of the Association are eligible to vote at this Founding AGM. To vote, you need to complete two registrations: register as a member through the Association’s membership registration form, and register for the AGM on Zoom (see How to attend below). Registration is free during our founding period. Registration with the College of Nurses of New Brunswick (CNNB) does not make you a member of the Association. Register here: https://forms.cloud.microsoft/r/wmcrp8BvBV

Membership registration remains open. To give us time to confirm your eligibility to vote before the meeting, we encourage you to complete both registrations as early as possible, using the same email address for each.

Each member has one vote on all matters. There will be no separate RN and NP votes. Proxy voting is not permitted, so you must attend the meeting to vote. Adoption of the bylaws requires two-thirds of the votes cast; other resolutions require a simple majority.

How to attend

Attending takes two quick steps, both free:

  1. Be a registered member of the Association (see above).
  2. Register for the meeting on Zoom: https://us06web.zoom.us/meeting/register/E9YKcuE2QLaHVhPQyxIlJA

Enter your name and email address on the registration form. Please use the same email address you used to register as a member, so we can confirm your eligibility to vote. Zoom will then email you your personal link to join the AGM. This link is unique to you, so please do not share it.

Voting instructions will be sent to registered attendees before the meeting.
